"Quotient," "we," "us" means Quotient Technology, operator of quotient.technology.
"Customer," "you" means the person or entity that purchases a package or service from Quotient.
"Package" means the $5,000 Agentic OS Deployment base package described in Section 3, or any variant Quotient offers.
"SSHL Credit" means the prepaid service credit described in Section 4, denominated in USD, sold in $1,000 blocks.
"Agent" means a voice, SMS, email, or web-based software agent activated on Customer's behalf, including a dedicated 10-digit phone number where applicable.
"Autonomous AI Agent" means a Quotient-operated software system, not a human employee, authorized to generate, personalize, deliver, and update quotes and to communicate with Customer as described in Section 2.
"Ledger" means the engagement ledger Quotient maintains recording transactions, credit balance, and service events tied to Customer's account.
↑ TopQuotes for Packages, SSHL Credit, and services may be generated, personalized, delivered, and updated by Autonomous AI Agents acting on Quotient's behalf, including over voice, SMS, email, and web chat. An Autonomous AI Agent's quote, once issued, is a binding offer from Quotient on the same terms as if issued by a human representative.
Validity. Unless otherwise stated on the quote, a quote is valid for 30 days from the date it is issued. Pricing, availability, and terms may change after expiration.
Quote becomes receipt. Upon successful payment through Stripe checkout, the interactive quote page Customer viewed and paid from becomes Customer's receipt of purchase and is retained, together with the corresponding Ledger entry, as the record of the transaction.
Acceptance. Acceptance of a quote occurs upon payment. Submitting payment constitutes acceptance of these Terms of Service & Policies as they exist at the time of payment.
↑ TopAll prices are quoted and charged in United States Dollars (USD) unless otherwise stated. Applicable taxes, if any, are calculated and collected at checkout.
Payments are processed by Stripe, Inc. Quotient does not store full payment card numbers. By submitting payment you agree to Stripe's terms of service in addition to these terms.
The base Package is $5,000 and includes: one Apple Mac mini, ready-configured; $1,000 of prepaid SSHL service credit; and one free voice/SMS agent activation with a dedicated 10-digit number for each $1,000 block of SSHL Credit purchased.
↑ TopPurchase. SSHL Credit is prepaid service credit sold in $1,000 blocks. Each block purchased includes one free voice/SMS agent activation with a dedicated 10-digit number.
Use. SSHL Credit is spendable across voice, SMS, email, and web agent usage, and toward professional services — configuration, maintenance, troubleshooting, and new agent, workflow, or app development — billed at Quotient's published hourly rates in 15-minute increments. Applicable burn rates and hourly rates are published on the customer's quote or engagement diagram and may be updated prospectively.

Keep-alive fee. A nominal monthly SSHL Credit fee, deducted automatically from Customer's balance, is required to keep each phone number and agent active. Non-payment (insufficient balance) may result in suspension of the associated number or agent.
USDC reversal. Unused SSHL Credit is reversible to USDC at Customer's request, processed to a wallet address Customer provides. Amounts reversed convert at a rate of 1 SSHL Credit dollar = 1 USDC, less any applicable network or processing fees. Credit that has been consumed, or that is committed to work already in progress, is not eligible for reversal.
Reversal eligibility timing. Credit becomes eligible for reversal on the later of: (a) the close of the applicable card network dispute window for the original Stripe payment that funded the credit (typically 120 days from the payment date, though the exact window varies by card network and issuer), or (b) 30 consecutive days of non-usage on that credit. This schedule exists so that a reversal is only processed once the payment underlying it is no longer subject to an open dispute window, and so that a customer cannot simultaneously hold both a processed USDC reversal and an active chargeback right over the same funds.
Effect of a pending dispute. If a payment dispute or chargeback is filed with the card issuer for a payment that funded SSHL Credit, reversal eligibility for all credit traceable to that payment is immediately suspended until the dispute is resolved. If the dispute is resolved in Customer's favor (funds returned to Customer by the card network), the corresponding SSHL Credit is extinguished and is no longer available for use or reversal, to prevent duplicate recovery of the same funds.
Reversal request & waiver. To request a reversal, Customer must confirm in writing that the underlying payment is final and, to the extent permitted by applicable card network rules, waive the right to dispute that payment with the card issuer. This waiver does not and cannot eliminate a cardholder's chargeback rights under card network rules; rather, the reversal schedule above is structured so that a reversal is processed only after the applicable dispute window has already lapsed (or the non-usage condition is met, whichever is later), so that the waiver and the dispute window do not overlap.
Non-transferable. SSHL Credit is issued to the purchasing Customer's account and is not transferable to another customer or account, except through the USDC reversal mechanism above.
↑ TopThese terms, including delivery timelines and this refund policy, are disclosed to Customer prior to purchase on the quote page and at checkout.
Hardware. An unopened Mac mini may be returned within 14 days of delivery for a refund, less shipping costs. Once a device has been configured for Customer or work has begun, it is no longer eligible for return under this section.
Configured hardware & custom services. Once configuration or custom service work has begun, the associated charges are non-refundable, except as required by applicable law.
SSHL Credit. SSHL Credit is refundable only through the USDC reversal mechanism described in Section 4, and only for unused, uncommitted balance that has met the reversal eligibility timing set out there (the later of the card network dispute window lapsing and 30 consecutive days of non-usage). Quotient does not otherwise refund SSHL Credit to a payment card or bank account.
Dispute process. If Customer believes there is a billing error or service issue, Customer agrees to contact Quotient first at the email in Section 14 before initiating a dispute with their card issuer or bank. Quotient will respond within 2 business days.
Chargebacks. Customer agrees to attempt resolution directly with Quotient before filing a chargeback or payment dispute. In the event of a chargeback, Quotient may present a dispute evidence pack consisting of the Ledger, the signed/accepted quote described in Section 2, and delivery confirmation records, as evidence that services or goods were delivered as described. Filing or maintaining a dispute on a payment suspends USDC reversal eligibility for credit funded by that payment as described in Section 4.
↑ TopQuotient provides installation and voice/SMS services with commercially reasonable skill and care, consistent with industry-standard service levels of the underlying platforms Quotient builds on — including Salesforce, Apple, and Stripe. This is the same standard by which Salesforce guarantees its own services to its customers, applied here to Quotient's delivery of installation and agent services. Quotient does not guarantee outcomes or availability beyond what those underlying platforms themselves guarantee.
Where Quotient fails to meet this standard for a covered service, Customer's remedy is limited to re-performance of the affected service or an SSHL Credit toward future services, at Quotient's election.
24-hour shipment target. Quotient targets a 24-hour turnaround for new voice agent, website, build, or app shipments from the time an order or request is confirmed. This is a target, not a guaranteed delivery time. It does not apply where delay results from force majeure, a dependency outside Quotient's control (e.g., third-party platform outage, carrier number porting, domain/DNS propagation), or incomplete information from Customer.
↑ TopMac mini hardware supplied as part of a Package carries Apple's standard one-year limited warranty, which Quotient passes through to Customer unmodified. AppleCare coverage is available as an optional add-on at Customer's cost.
Where hardware requires warranty replacement, Quotient will, where available inventory permits, re-provision replacement hardware from its own stock and coordinate the Apple warranty claim, to minimize Customer downtime.
↑ TopAI agents. Quotes, sales communications, and portions of customer support may be handled by Autonomous AI Agents operating over voice, SMS, email, and web chat on Quotient's behalf. By calling, texting, or engaging with Quotient's numbers or web agents, Customer consents to interacting with an AI agent rather than a human.
Recording & logging. Calls and messages to and from Quotient's numbers and agents may be recorded, transcribed, and logged for quality assurance and record-keeping purposes, and may be referenced as part of the Ledger.
TCPA-style consent. By calling or texting a Quotient number, or by submitting your contact information to Quotient, you consent to receive automated calls and text messages from Quotient, including from Autonomous AI Agents, at the number provided. Message and data rates may apply. You may opt out at any time by replying STOP to a text or by telling a voice or chat agent to stop contacting you.
Local processing. Consistent with Quotient's architecture, Customer's operational data is processed and stored on Customer's own hardware (the Mac mini) rather than centrally by Quotient, except where necessary for billing, support, or as described below.
Subprocessors. Quotient uses Salesforce for customer relationship management and Stripe for payment processing. These providers act as subprocessors and receive the data necessary to perform those functions, subject to their own privacy and security terms.
↑ TopCustomer retains ownership of the data Customer creates, uploads, or processes through their deployment.
Quotient retains all right, title, and interest in and to its platform, agent software, and related intellectual property. Purchase of a Package or SSHL Credit grants Customer a limited, non-exclusive, non-transferable license to use that platform and any Agents provisioned to Customer for Customer's own internal business purposes, for as long as the Package or associated Agent remains active.
↑ TopTo the maximum extent permitted by law, Quotient's total liability to Customer arising out of or related to a Package, SSHL Credit, or any service, under any theory of liability, will not exceed the total amounts actually paid by Customer to Quotient in the 12 months preceding the claim.
In no event will Quotient be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, even if advised of the possibility of such damages.
↑ TopThese terms apply for as long as Customer holds an active Package, SSHL Credit balance, or Agent with Quotient. Either party may terminate the relationship at any time; termination does not entitle Customer to a refund except as described in Section 5, and does not forfeit Customer's right to request USDC reversal of eligible unused SSHL Credit under Section 4.
Quotient may suspend or terminate an Agent or number for non-payment of the keep-alive fee described in Section 4, after reasonable notice where practicable.
↑ TopThese terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.
Before filing any claim, the parties agree to attempt to resolve the dispute informally by contacting each other in good faith. If a dispute is not resolved informally within a reasonable time, it will be resolved by binding arbitration on an individual basis, except that either party may bring an individual claim in small claims court where that court has jurisdiction.
↑ TopQuotient may update these terms from time to time. The effective date at the top of this page reflects the date of the current version. Continued use of Quotient's products or services after a change becomes effective constitutes acceptance of the updated terms.
